Terms of Service.

1. Purpose and scope

These Terms of Service (hereinafter "ToS") govern access to and use of the AMI Platform platform (hereinafter "the Platform"), published by AMI Platform SAS, a simplified joint-stock company with a share capital of €10,000, registered with the Paris Trade and Companies Register under number 123 456 789, with its registered office in Paris, France.

The Platform is a SaaS (Software as a Service) tool designed for insurance brokerage firms and their asset manager clients, enabling centralised management of construction insurance policies, claims, projects and associated documentation.

Access to the Platform is subject to unconditional acceptance of these ToS. Any use of the Platform implies full and unreserved acceptance of these terms.

2. Account creation and access

Access to the Platform is reserved for duly authorised professionals within the framework of a contract taken out with AMI Platform. Each user has a personal, non-transferable and non-shareable account.

The User is responsible for the confidentiality of their login credentials. Any connection made from their account is presumed to have been made by the User. In the event of loss, theft or unauthorised use of credentials, the User must immediately notify AMI Platform at support@ami-broker.io.

AMI Platform reserves the right to suspend or terminate any account in the event of non-compliance with these ToS, fraudulent behaviour or any action that jeopardises Platform security.

3. Use of the platform

The User agrees to use the Platform in accordance with its intended purpose and with applicable laws and regulations, in particular those relating to insurance brokerage activities.

It is strictly prohibited to: attempt to access data belonging to other users or tenants; carry out intrusion or destabilisation attempts on the servers; use the Platform for unlawful, fraudulent or public order-contrary purposes; reproduce, copy, sell or commercially exploit all or part of the Platform without prior written authorisation.

AMI Platform reserves the right to modify, suspend or discontinue all or part of the Platform's features at any time, in particular for maintenance, security or technical evolution reasons, without this giving rise to any right to compensation.

4. Data and privacy

In the course of using the Platform, AMI Platform processes personal data within the meaning of Regulation (EU) 2016/679 of 27 April 2016 (GDPR). AMI Platform acts as a data processor within the meaning of Article 28 of the GDPR for data processed on behalf of brokerage firms (data controllers).

Data is hosted in Europe (EU region) with an ISO 27001-certified provider. No data is transferred outside the European Union without appropriate safeguards. A Data Processing Agreement (DPA) is available on request.

Data is retained for the duration of the contract, plus an archiving period of 5 years from termination, unless a longer legal retention obligation applies to the insurance activity.

5. Intellectual property

All elements constituting the Platform (software, interfaces, databases, trademarks, logos, content) are the exclusive property of AMI Platform or its partners, and are protected by French and international intellectual property laws.

Subscribing to the Platform grants the User a strictly personal, non-exclusive and non-transferable right of access and use, limited to the duration of the contract. No ownership rights are transferred to the User.

Data entered by the User on the Platform remains their exclusive property. AMI Platform undertakes not to use it for any purpose other than providing the contracted service.

6. Liability and warranties

AMI Platform undertakes to use all reasonable means to ensure the availability and security of the Platform. However, AMI Platform cannot be held liable for service interruptions due to causes beyond its control (force majeure, communication network failures, cyberattacks).

AMI Platform's liability is limited to direct and foreseeable damages, excluding any indirect damage, data loss, loss of profit or commercial prejudice. In any event, AMI Platform's liability may not exceed the amounts actually paid by the Client in the 12 months preceding the triggering event.

The User is solely responsible for the accuracy and legality of the data they enter on the Platform, in particular information relating to worksites, policies and claims.

7. Pricing and billing

The applicable pricing conditions are those defined in the contract taken out between the brokerage firm and AMI Platform. The pricing simulator available on the Platform is for indicative purposes only and does not constitute a contractual quote.

Billing is monthly unless otherwise agreed. Any payment delay exceeding 30 days will result in the application of late payment penalties at the applicable statutory rate, as well as a flat-rate recovery indemnity of €40.

AMI Platform reserves the right to modify its pricing with 30 days' notice. If the Client refuses the new pricing, they may terminate their subscription without penalty before the new pricing takes effect.

8. Termination

The contract may be terminated by either party, subject to the notice period stipulated in the contract, without cause and without penalty. In the event of a material breach of any contractual obligation, the aggrieved party may proceed with immediate termination after formal notice has remained without effect for 15 days.

Upon termination, AMI Platform makes all Client data available in a usable format (CSV/JSON export) for a period of 30 days. Beyond this period, data is securely and irreversibly deleted, unless a legal obligation requires otherwise.

9. Governing law and jurisdiction

These ToS are governed by French law. In the event of a dispute relating to their interpretation or performance, the parties undertake to seek an amicable solution within 30 days of notification of the dispute.

Failing amicable agreement, any dispute shall be submitted to the exclusive jurisdiction of the competent courts within the jurisdiction of the Paris Commercial Court, notwithstanding multiple defendants or warranty claims.
